Puff Social Influencer Terms and Conditions

1. Introduction

Welcome to Puff Social! As a Puff Social influencer, you are representing our brand and our clients in various promotional activities. By participating in our campaigns, you agree to comply with these Terms and Conditions. Failure to adhere may result in termination of your influencer agreement and potential legal liability.

2. Professional Conduct

As a Puff Social influencer, you agree to:

  • Behave professionally, respectfully, and responsibly in all campaign-related activities.

  • Adhere to all client and brand guidelines for content creation, messaging, and engagement.

  • Follow ethical and legal standards when interacting with the public, clients, and other influencers.

  • Avoid any conduct that may be considered offensive, discriminatory, defamatory, harassing, or otherwise inappropriate.

3. Prohibited Behavior

Influencers are strictly prohibited from engaging in any of the following actions while participating in Puff Social campaigns:

  • Illegal activities: Any violation of federal, state, or local laws, including but not limited to drug distribution, theft, vandalism, or fraud.

  • Violence or threats: Engaging in any physical altercations, threatening harm, or inciting violence.

  • Property damage: Causing damage to any venue, business, personal property, or public spaces during the execution of campaign-related duties.

  • Excessive intoxication: Being visibly impaired due to alcohol or substances while on an assignment or during content creation.

  • Misrepresentation: Making false claims about Puff Social, our clients, or the products/services being promoted.

  • Unauthorized affiliations: Representing other brands or companies while working on a campaign for Puff Social unless explicitly permitted.

4. Liability & Indemnification

  • Personal Responsibility: Influencers acknowledge that they are acting as independent contractors and assume all risks associated with their participation in Puff Social campaigns.

  • Damage Liability: If an influencer causes physical damage to property, they will be held financially responsible for repair or replacement costs.

  • Legal Actions: If an influencer is arrested, fined, sued, or otherwise involved in civil or criminal proceedings as a result of their actions during a campaign, Puff Social bears no responsibility for legal fees, penalties, or other liabilities incurred.

  • Client Protection: Influencers agree to indemnify, defend, and hold harmless Puff Social, its clients, partners, and affiliates from any claims, damages, losses, or expenses arising from the influencer's misconduct, negligence, or breach of this agreement.

5. Confidentiality & Intellectual Property

  • Non-Disclosure: Influencers must maintain confidentiality regarding all campaign details, brand strategies, client information, and internal communications.

  • Content Ownership: Puff Social and its clients retain the right to use influencer-generated content in perpetuity for marketing, advertising, and promotional purposes.

  • No Unauthorized Distribution: Influencers may not sell, share, or distribute campaign materials, scripts, or behind-the-scenes content without prior written approval.

6. Compliance with New York Laws

As Puff Social operates in New York, influencers must comply with all New York State and City regulations, including but not limited to:

  • Permitting laws for filming in restricted areas.

  • Business conduct regulations in licensed establishments.

  • Privacy laws when interacting with non-participants.

  • Liability laws in the event of property damage or personal injury claims.

  • Public disturbance laws regarding excessive noise, obstruction of business operations, or illegal assembly.

7. Termination & Disqualification

Puff Social reserves the right to immediately terminate an influencer’s participation if they:

  • Breach any terms of this agreement.

  • Engage in misconduct that could harm Puff Social’s reputation.

  • Fail to meet content quality, engagement, or deadline requirements.

  • Receive complaints from clients, businesses, or the public.

  • Violate any applicable laws or regulations.

8. Governing Law & Dispute Resolution

  • This agreement shall be governed by and interpreted under the laws of the State of New York.

  • Any disputes arising under these Terms and Conditions shall first be resolved through good faith negotiations.

  • If a resolution is not reached, disputes shall be settled through binding arbitration in New York City, with costs split equally between the parties.

9. Acknowledgment & Agreement

By participating in Puff Social campaigns, you acknowledge that you have read, understood, and agree to abide by these Terms and Conditions. Failure to comply may result in permanent removal from future campaigns and potential legal action.
